1. AGREEMENT TO TERMS
1.1 These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, the user (“User” or “you”), and Cybertools OÜ, a company registered under the laws of Estonia, with its principal place of business at Rävala puiestee 19, Tallinn, 1043, Estonia (“Cybertools,” “we,” “us,” or “our”), governing your access and use of the IMERS platform, including all associated features, services, and content (collectively, the “Platform”).
1.2 By accessing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. Additional terms and conditions may apply to specific portions or features of the Platform, and such additional terms and conditions are hereby incorporated by reference into these Terms.
1.3 We reserve the right to modify these Terms at any time, in our sole discretion. Any changes to these Terms will be effective immediately upon posting. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time, so you are aware of any changes, as they are binding on you.
2. PLATFORM DESCRIPTION
2.1 IMERS is a play-to-earn trading game where Users can participate in various activities, including buying, selling, and trading digital assets, participating in virtual markets, and earning rewards.
2.2 The Platform may allow Users to acquire, trade, and use in-game virtual items, currencies, and other digital assets (“Digital Assets”). Digital Assets are not real currency, have no monetary value, and cannot be exchanged for real currency or any other tangible goods or services, except as explicitly provided in the Platform.
3. ELIGIBILITY
3.1 By accessing and using the Platform, you represent and warrant that you are at least 18 years old or the age of majority in your jurisdiction, whichever is greater, and that you have the legal capacity to enter into and be bound by these Terms.
3.2 The Platform is not available to persons who are prohibited from accessing or using it under the applicable laws of England and Wales or other applicable laws, regulations, or sanctions programs.
4. USER ACCOUNT
4.1 To access and use certain features of the Platform, you must register for an account (“Account”). You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
4.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must immediately notify us of any unauthorized use of your Account or any other breach of security.
4.3 We reserve the right to suspend or terminate your Account, in our sole discretion, if we believe that you have violated these Terms, or if we suspect fraudulent, abusive, or illegal activity.
5. INTELLECTUAL PROPERTY
5.1 All intellectual property rights in and to the Platform, including but not limited to trademarks, service marks, logos, trade names, copyrights, patents, and other intellectual property rights, are owned by Cybertools or its licensors. You have no rights in or to the Platform or its content other than the right to use the Platform in accordance with these Terms.
6. USER CONDUCT
6.1 You agree not to engage in any conduct that is prohibited by these Terms, including but not limited to:
(a) using the Platform for any unlawful purpose or in violation of any applicable laws, rules, or regulations;
(b) cheating, hacking, exploiting, or using any unauthorized third-party software or tools to manipulate the Platform or gain an unfair advantage; (c) selling, trading, or transferring your Account or Digital Assets to another person, or allowing any third party to use your Account; (d) impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity; (e) harassing, threatening, or otherwise causing harm or distress to other Users, our employees, or representatives; (f) posting, transmitting, or otherwise making available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable; (g) reverse-engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying ideas or algorithms of the Platform; (h) using any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission; (i) taking any action that imposes, or may impose, an unreasonable or disproportionately large load on our infrastructure, as determined by us in our sole discretion; or (j) violating or infringing any intellectual property rights, privacy rights, or any other rights of Cybertools or any third party.
7. TERMINATION
7.1 We reserve the right, in our sole discretion, to terminate your access to the Platform and your Account, without notice, for any reason or no reason, including without limitation, your breach of these Terms.
7.2 Upon termination of your access to the Platform and your Account, you will immediately lose access to all Digital Assets and any other content associated with your Account. We are under no obligation to compensate you for any such losses.
8.  DISCLAIMERS
8.1 THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CYBERTOOLS AND ITS LICENSORS DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. LIMITATION OF LIABILITY
9.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYBERTOOLS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM.
10. GOVERNING LAW AND JURISDICTION
10.1 These Terms and any disputes or claims arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
10.2 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
11. MISCELLANEOUS
11.1 If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent under the law.
11.2 Our failure to exercise or enforce any right or provision of these
Terms shall not constitute a waiver of such right or provision.
11.3 These Terms, together with any additional terms and conditions that may apply to specific portions or features of the Platform, constitute the entire agreement between you and Cybertools regarding the Platform and supersede any prior agreements or understandings between you and Cybertools.
11.4 You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time, without restriction and without notice to you.
11.5 Any notices or other communications provided by Cybertools under these Terms, including those regarding modifications to these Terms, will be given by posting to the Platform or by email to the address provided by you during the registration process.
